By submitting a\n          purchase order or accepting a quotation, pro forma invoice,\n          or order confirmation, you confirm that you have authority\n          to act for the purchasing organization.\n        <\/p>\n\n        <p>\n          If mandatory law gives you rights that cannot legally be\n          limited or excluded, those rights remain unaffected.\n        <\/p>\n      <\/section>\n\n      <section id=\"vst-terms-website\">\n        <h2>2. Minor changes that do not materially reduce agreed\n          functionality may occur as products and components are\n          updated.\n        <\/p>\n\n        <p>\n          Cameras, monitors, recording systems, warning devices, AI\n          detection systems, radar systems, and 360\u00b0 vision systems\n          are driver or operator assistance products. They do not\n          replace safe driving, trained operators, direct observation,\n          site procedures, mirrors, required safety equipment, or\n          compliance with applicable laws.\n        <\/p>\n\n        <p>\n          Detection performance may be affected by installation,\n          calibration, lighting, weather, obstruction, speed,\n          environment, object characteristics, and system settings.\n          No assistance system can detect every hazard or prevent\n          every incident.\n        <\/p>\n\n        <p>\n          The customer must review the applicable specification,\n          interface, voltage, dimensions, field of view, environmental\n          rating, certifications, and intended use before ordering and\n          installing a product.\n        <\/p>\n      <\/section>\n\n      <section id=\"vst-terms-orders\">\n        <h2>4. Quotations, Orders, and Contract Documents<\/h2>\n\n        <p>\n          A quotation is valid only for the period stated in it and\n          may be revised before order acceptance if costs, exchange\n          rates, components, specifications, quantities, or delivery\n          conditions change.\n        <\/p>\n\n        <p>\n          A customer purchase order is an offer to buy. An order\n          becomes binding only when we issue written acceptance or an\n          order confirmation, or when we issue a pro forma invoice and\n          receive any required deposit or payment.\n        <\/p>\n\n        <p>\n          Any modification, cancellation, or addition after order\n          acceptance requires written agreement. Prices and Payment<\/h2>\n\n        <p>\n          Prices, currency, payment schedule, minimum order quantity,\n          tooling charges, sample charges, freight, insurance, taxes,\n          and bank fees are as stated in the applicable quotation or\n          order confirmation.\n        <\/p>\n\n        <p>\n          Unless expressly stated otherwise, prices exclude import\n          duties, local taxes, customs charges, installation, and\n          other destination-country costs.\n        <\/p>\n\n        <p>\n          Payments must be made by the agreed due date and in cleared\n          funds. The customer is responsible for its bank's charges\n          and for providing accurate remittance information.\n        <\/p>\n\n        <p>\n          We may suspend production, shipment, warranty processing, or\n          further supply while an undisputed payment is overdue.\n        <\/p>\n\n        <p>\n          To reduce payment fraud, any requested change to our bank\n          details should be independently verified using previously\n          known contact information before funds are sent.\n        <\/p>\n\n        <p>\n          We are not responsible for payments sent to an unauthorized\n          account because of fraudulent instructions that did not\n          originate from our authorized systems or representatives.\n        <\/p>\n      <\/section>\n\n      <section id=\"vst-terms-custom\">\n        <h2>6. Samples, Custom Products, and OEM\/ODM Orders<\/h2>\n\n        <p>\n          Samples and prototypes are supplied for evaluation and may\n          differ from final production units. The customer is\n          responsible for completing appropriate testing and giving\n          written approval before mass production.\n        <\/p>\n\n        <p>\n          For custom, OEM, ODM, private-label, tooling, firmware,\n          connector, cable, packaging, or specification work,\n          production will follow the latest written version approved\n          by both parties.\n        <\/p>\n\n        <p>\n          Changes requested after approval may affect cost, minimum\n          quantity, tooling, and lead time.\n        <\/p>\n\n        <p>\n          Deposits, engineering charges, tooling charges, and committed\n          material costs for custom work are non-refundable once design\n          work, tooling, material purchasing, or production has started,\n          except where otherwise agreed in writing.\n        <\/p>\n\n        <p>\n          Ownership, storage, maintenance, and refund arrangements for\n          molds or tooling apply only as stated in the applicable\n          written agreement.\n        <\/p>\n\n        <p>\n          The customer warrants that it has the right to provide and\n          authorize the use of all names, logos, artwork, designs,\n          software, data, specifications, and other materials supplied\n          by it.\n        <\/p>\n      <\/section>\n\n      <section id=\"vst-terms-delivery\">\n        <h2>7. Production, Shipping, Delivery, and Risk<\/h2>\n\n        <p>\n          Production and delivery dates are estimates unless we\n          expressly agree in writing that a date is guaranteed.\n        <\/p>\n\n        <p>\n          Lead time normally begins only after order acceptance,\n          receipt of the required payment, approval of specifications\n          or samples, and receipt of any customer-supplied materials.\n        <\/p>\n\n        <p>\n          The applicable shipping term, delivery point, allocation of\n          freight and insurance costs, transfer of risk, and customs\n          responsibilities will be stated in the quotation or order\n          confirmation and interpreted under Incoterms\u00ae 2020 where an\n          Incoterms rule is used.\n        <\/p>\n\n        <p>\n          Transfer of legal title is separate from transfer of shipping\n          risk. Unless otherwise agreed, title remains with us until\n          the affected products have been paid for in full to the\n          extent permitted by law.\n        <\/p>\n\n        <p>\n          Unless the agreed delivery term states otherwise, the\n          customer is responsible for import permits, customs\n          clearance, duties, taxes, destination inspections, and local\n          regulatory requirements.\n        <\/p>\n\n        <p>\n          Carrier tracking and estimated arrival dates do not guarantee\n          customs clearance or final delivery time.\n        <\/p>\n\n        <p>\n          We may make reasonable partial shipments when necessary,\n          provided this does not materially prejudice the customer.\n          Storage, redelivery, or additional handling costs caused by\n          the customer's delay, incorrect instructions, or failure to\n          accept delivery may be charged to the customer.\n        <\/p>\n      <\/section>\n\n      <section id=\"vst-terms-inspection\">\n        <h2>8. Inspection, Claims, Cancellations, and Returns<\/h2>\n\n        <p>\n          The customer should inspect shipments promptly on arrival.\n          Visible transport damage, shortages, or incorrect items\n          should be recorded with the carrier and reported to us with\n          photographs, packaging details, the order number, and the\n          affected quantities.\n        <\/p>\n\n        <p>\n          If no different period is stated in the order documents,\n          visible shipping issues should be reported within seven\n          calendar days after delivery.\n        <\/p>\n\n        <p>\n          A hidden defect discovered later may be reported under the\n          applicable warranty. Failure to report visible shipping\n          damage promptly may limit our ability to make a carrier claim,\n          but it does not remove any right that cannot be excluded by\n          law.\n        <\/p>\n\n        <p>\n          Products may not be returned without our written return\n          authorization and instructions. Authorized returns must be\n          packaged appropriately and include the requested\n          identification and test information.\n        <\/p>\n\n        <p>\n          Returns for convenience, order errors, or excess stock require\n          our prior approval and may be subject to restocking, freight,\n          inspection, and refurbishment charges.\n        <\/p>\n\n        <p>\n          Accepted custom orders cannot normally be cancelled after\n          engineering, tooling, material purchasing, branding, or\n          production has begun.\n        <\/p>\n\n        <p>\n          If we approve a cancellation, the customer must pay completed\n          work, non-cancellable materials, tooling, and other reasonable\n          costs already committed.\n        <\/p>\n      <\/section>\n\n      <section id=\"vst-terms-warranty\">\n        <h2>9. Customer Responsibilities and Regulatory Compliance<\/h2>\n\n        <p>The customer is responsible for:<\/p>\n\n        <ul>\n          <li>\n            Selecting products suitable for the intended vehicle,\n            machine, environment, market, and risk assessment.\n          <\/li>\n\n          <li>\n            Ensuring installation, commissioning, calibration, testing,\n            and maintenance are performed by competent personnel.\n          <\/li>\n\n          <li>\n            Following manuals, wiring diagrams, specifications,\n            warnings, and technical instructions.\n          <\/li>\n\n          <li>\n            Maintaining safe driving and operating procedures and\n            training relevant personnel.\n          <\/li>\n\n          <li>\n            Confirming local requirements for radio use,\n            electromagnetic compatibility, road use, recording,\n            workplace monitoring, privacy, cybersecurity, product\n            marking, import, and resale.\n          <\/li>\n\n          <li>\n            Not making safety claims, certifications, or performance\n            representations beyond our written documentation.\n          <\/li>\n        <\/ul>\n\n        <p>\n          A certification, approval, test report, or radio authorization\n          applies only to the specific model, configuration, frequency,\n          market, and conditions identified in that document.\n        <\/p>\n\n        <p>\n          The customer must not assume that it applies to another\n          product or country.\n        <\/p>\n\n        <p>\n          The customer must comply with applicable export-control,\n          sanctions, anti-bribery, and trade laws and must not resell\n          or use products for a prohibited person, destination, or\n          purpose.\n        <\/p>\n      <\/section>\n\n      <section id=\"vst-terms-ip\">\n        <h2>11.
